Terms & Conditions -
The Basics 

Welcome to Base Code. These Terms and Conditions govern your relationship with our website and website development services. By accessing or using the Service, you agree to comply with and be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

Base Code offers website development, website re-design, maintenance services and company branding. Specific services provided will be detailed in a separate agreement or proposal provided to the client.

Client Terms

All quotes and estimates provided by Base Code are valid for 30 days from the date of issuance. Invoices will be issued based on the payment schedule outlined in the agreement or proposal. Payment is due within 30 days of the invoice date unless otherwise specified. Late payments may be subject to additional fees and interest as outlined in the agreement.

The client agrees to provide all necessary content, including text, images, and other materials required for the project, in a timely manner. The client agrees to provide timely feedback and approvals during the project. Delays in feedback or approval may result in project delays.

Warranties and Liabilities

Base Code warrants that the services provided will be performed with reasonable skill and care. However, we do not warrant that the website will be error-free or meet the client's specific requirements.

Base Code will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Service. Our total liability will not exceed the amount paid by the client for the Service.

Termination

The client may terminate the agreement at any time by providing written notice. The client will be responsible for payment for all work completed up to the date of termination.

Base Code may terminate the agreement if the client fails to comply with these Terms or if the client becomes insolvent.

Property and Confidentiality 

Upon full payment, the client will own the rights to the final website and its contents, excluding any third-party components, plugins, or software that are subject to their own licenses. Base Code retains the right to display and link to the completed project as part of our portfolio and marketing materials.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. This obligation will continue beyond the termination of the agreement.
